1. Acceptance of Terms
By accessing or using the Indy Smile application or the website located at indydentaltech.com (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated here by reference. If you do not agree to these Terms, do not use the Service.
These Terms constitute a legally binding agreement between you and Indy Dental Tech, LLC ("Company," "we," "us," or "our"), a limited liability company based in Henderson, Nevada.
2. Eligibility
You must be at least 13 years of age to use the Service. By using the Service, you represent that you meet this requirement. If you are under 18, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.
3. Your Account
a. Registration
To access certain features of the Service, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.
b. Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at hello@indydentaltech.com if you suspect unauthorized access to your account.
c. One Account Per Person
Each person may maintain only one account. Creating multiple accounts to accumulate additional rewards points or circumvent limitations is prohibited.
4. Waitlist
By joining our waitlist, you agree to receive email communications from us regarding the launch of the Indy Smile app, product updates, and related announcements. You may unsubscribe at any time by clicking the "unsubscribe" link in any email. Joining the waitlist does not guarantee access to the Service upon launch or any specific launch timeline.
5. Subscriptions and Payments
a. Free and Paid Plans
The Service may offer both a free tier and one or more paid subscription plans (each, a "Pro Plan"). Features available on each plan are subject to change at our discretion with reasonable notice.
b. Billing
Paid subscriptions are billed on a recurring basis (monthly or annually, as selected). By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.
c. Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you will retain access to Pro Plan features until that date. We do not provide partial refunds for unused time within a billing period.
d. Price Changes
We reserve the right to change subscription pricing with at least 30 days' notice. Continued use of the Service after a price change constitutes your acceptance of the new pricing.
e. Taxes
You are responsible for any applicable taxes associated with your subscription.
6. Rewards Program
a. Earning Points
Users may earn points ("Smile Points") by completing qualifying activities within the Service, such as logging daily brushing habits. We reserve the right to adjust the criteria for earning points at any time.
b. Redeeming Points
Smile Points may be redeemed for discounts or products as described in the Service. Available redemption options may change without notice.
c. Lifetime Points
Points earned under a "Lifetime Rewards" designation do not expire as long as your account remains active and in good standing.
d. No Cash Value
Smile Points have no cash value and may not be sold, transferred, or exchanged for cash. Points are non-transferable between accounts.
e. Forfeiture
We reserve the right to void or forfeit points that were earned through fraudulent activity, abuse of the rewards program, or violation of these Terms. Points are forfeited upon account deletion or termination.
f. Program Changes
We reserve the right to modify, suspend, or discontinue the rewards program at any time with reasonable notice. In the event of program discontinuation, we will provide at least 60 days' notice for users to redeem outstanding points.
7. Acceptable Use
You agree not to use the Service to:

• Violate any applicable law or regulation

• Impersonate any person or entity or misrepresent your affiliation with any person or entity

• Submit false or misleading habit tracking data to fraudulently earn rewards points

• Attempt to gain unauthorized access to any part of the Service or its related systems

• Interfere with or disrupt the integrity or performance of the Service

• Use automated tools, bots, or scripts to interact with the Service in an unauthorized manner

• Reverse engineer, decompile, or disassemble any portion of the Service

• Use the Service for any commercial purpose without our prior written consent

8. Intellectual Property
All content, features, and functionality of the Service — including but not limited to text, graphics, logos, icons, images, and software — are the exclusive property of Indy Dental Tech, LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes. Nothing in these Terms transfers any ownership rights to you.
9. Health Disclaimer
The Indy Smile app is designed to support and encourage good dental hygiene habits. It is not a medical device and is not intended to diagnose, treat, cure, or prevent any disease or dental condition. Nothing in the Service constitutes professional dental or medical advice. Always consult a licensed dental professional for questions about your oral health.
10. Third-Party Services
The Service may contain links to or integrations with third-party websites, apps, or services. We are not responsible for the content, privacy practices, or terms of those third parties. Your use of third-party services is governed by their respective terms.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, INDY DENTAL TECH, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $50, WHICHEVER IS GREATER.
13. Indemnification
You agree to indemnify, defend, and hold harmless Indy Dental Tech, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
14. Termination
We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, including for violation of these Terms. Upon termination, your right to use the Service will immediately cease and any unredeemed Smile Points will be forfeited.
You may also delete your account at any time by contacting us at hello@indydentaltech.com.
15. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Nevada, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Clark County, Nevada, and you consent to personal jurisdiction in those courts.
Before filing any legal claim, you agree to contact us at hello@indydentaltech.com and give us 30 days to attempt to resolve the dispute informally.
16. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page. For material changes, we will provide notice via email or a prominent notice in the app at least 14 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.
17. Miscellaneous

• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Indy Dental Tech, LLC regarding the Service.

• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

• Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights freely.
